These Terms of Service ("Terms") constitute a legally binding agreement between Technada ("Provider", "we", "us", or "our") and the client ("Client", "you", or "your"). By engaging Technada for any IT, consulting, or cybersecurity services, you agree to comply with and be bound by these terms.
1. General Provisions
These Terms apply to all services rendered by Technada, including but not limited to Managed IT Support, Cloud Architecture, Network Engineering, and Cybersecurity Management. If a specific Master Service Agreement (MSA) or Statement of Work (SOW) is executed between Technada and the Client, the terms of that specific agreement will supersede these general Terms in the event of a conflict.
2. Scope of Services
We provide enterprise-grade technology services based strictly on the parameters outlined in your accepted proposal or active MSA.
- Support Requests: All requests for support must be submitted through our official Client Portal or dedicated support email to ensure proper tracking and SLA adherence.
- Out of Scope: Requests for new hardware deployment, major infrastructure overhauls, or software development that fall outside an active Managed IT agreement will be quoted and billed as a separate project.
- Third-Party Vendors: We may interface with third-party software vendors on your behalf. We are not responsible for the failures, bugs, or outages of third-party systems.
3. Client Responsibilities
To deliver rapid, effective IT support, we require the Client to maintain a cooperative environment. The Client agrees to:
- Provide Technada with timely access to physical premises, network environments, passwords, and administrative credentials necessary to perform our duties.
- Designate a primary internal contact who is authorized to approve billing, system changes, and hardware purchases.
- Maintain minimum hardware and software standards as recommended by Technada to ensure network security and compatibility.
- Promptly notify us of any employee onboarding, offboarding, or physical office moves.
4. Fees & Payment Terms
Healthy partnerships require transparent financial terms. By engaging our services, you agree to the following:
- Invoicing: Recurring Managed IT Services are billed monthly in advance. Project-based work is billed according to the milestones outlined in the SOW.
- Payment Terms: All invoices are strictly Net 30 days from the date of issue unless otherwise specified.
- Late Fees: Accounts past due may be subject to a late fee of 1.5% per month (18% annually). We reserve the right to suspend non-critical services for accounts more than 45 days in arrears.
5. Confidentiality & Security
Both parties agree to treat all proprietary information, business processes, and technical architectures as strictly confidential. Technada will never disclose your internal data, client lists, or security vulnerabilities to any unauthorized third party. For detailed information on data handling, please refer to our Privacy Policy.
6. Limitation of Liability
While we engineer solutions designed for maximum uptime and security, technology is inherently subject to failure. Technada shall not be held liable for:
- Data loss resulting from pre-existing hardware failures, lack of approved backup systems, or user error.
- Downtime caused by internet service providers (ISPs), regional power grids, or acts of God (force majeure).
- Cybersecurity breaches resulting from employees bypassing implemented security protocols (e.g., falling victim to phishing or refusing Multi-Factor Authentication).
In no event shall Technada's total liability exceed the total amount paid by the Client to Technada for the specific service in the three (3) months preceding the incident.
7. Term & Termination
We believe in retaining clients through exceptional service, not hostage contracts.
- Notice: Either party may terminate a month-to-month Managed IT agreement with thirty (30) days written notice.
- Offboarding: Upon termination, Technada will professionally transition all administrative credentials, documentation, and network access back to the Client or their new designated IT provider.
- Outstanding Fees: All outstanding invoices and hardware costs must be settled prior to the final handover of administrative credentials.
8. Governing Law
These Terms, and any dispute arising from the relationship between Technada and the Client, shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein.
